I. POSITION OVERVIEW
HDS is looking for an ECM (Equity Capital Markets) Specialist with a strong financial background and a sharp trading mindset to participate in the implementation of equity capital raising deals for businesses. This is a position at the heart of investment banking — you'll be directly involved in the entire lifecycle of an ECM deal: from structural advice, valuations, underwriting to distribution of shares to large institutional and individual investors in the HDS ecosystem.
II. MAIN RESPONSIBILITIES
1. Consulting and Deal Structuring
- Advising clients on appropriate methods of raising equity capital: IPO, Follow-on Offering, Private Placement, Rights Issue and other ECM structures.
- Analyze and evaluate the ability of the enterprise to raise capital: review financial records, shareholder structure, business model and market positioning to determine the optimal plan.
- Building a financial model for the valuation of the issuer: proficient in DCF, P/E, P/B, EV/EBITDA methods and comparative analysis with enterprises in the same industry (Comparable Company Analysis).
- Drafting and presenting consulting documents to clients: pitch deck, information memorandum, term sheet and related transaction documents.
2. Transaction Execution and Underwriting
- Coordinate and enforce the entire underwriting process: coordinate with issuers, auditors, legal counsel and stakeholders to ensure the progress and quality of the dossier.
- Prepare and review the issuance registration dossier: Prospectus, Summary Prospectus and documents to be submitted to the SSC in accordance with the provisions of the Securities Law and the current guiding Circular.
3. Market Research and Analysis
- Monitoring developments in the domestic and international capital markets; analyze pricing trends, investors' risk appetite and market conditions to advise on the optimal issuance time for clients.
4. Customer Development and Investor Relations
- Proactively approach and develop relationships with potential enterprises in need of capital mobilization; building an ECM deal pipeline for HDS.
- Maintain and develop a network of relationships with institutional investors: investment funds, insurance companies, commercial banks and domestic and foreign financial institutions.
III. REQUIREMENTS FOR CANDIDATES
- Graduated from University majoring in Finance, Economics, Banking, Accounting or related disciplines.
- Minimum of 2 to 4 years of experience in ECM or Corporate Finance department at a securities company, investment banking or financial institution.
- Experience working with the SSC in the process of registering for issuance and listing of securities
- Having a Securities Practice Certificate is a plus point
